PAYMENT OF MONTHLY CHARGES -
Your first monthly charges may include: set-up charges (if any), pro-rated first month service and usage charges (if any) and second month service in advance. Charges are due upon receipt on the first day of every month, and will be billed to the credit card on file with VoiceConnect Inc unless other special arrangements have been made. Federal, state and local governments may assess taxes, surcharges, or fees, or all of these, on your use of our service. These charges may be a flat fee or a percentage of your VoiceConnect charges and may change without notice. These charges are based on the rates applicable to the address you provided to us. You are responsible for all applicable taxes, fees, or charges for your order, monthly service, or usage on your account. These amounts are in addition to the payment for your monthly services in advance. In the event that payment is not received within 15 days from the date of charges, we may, with or without notice, suspend or terminate your service and will not reactivate the account until the entire balance due is paid. If we don't suspend or terminate your service, this does not waive our rights to do so or to charge past due amounts when payment funds are available. You agree that we may utilize a third party billing firm for invoicing, and that we may assign any of our rights hereunder without restriction.
LATE PAYMENT FEES AND COLLECTION EXPENSES – We charge interest at 1.5% per
month on past due balances, or such other rate as is the maximum by law. If
collection action is necessary you agree to pay reasonable collection agency
fees, court costs, and any other expenses that we incur.
TERMS OF AGREEMENT AND CANCELLATION – After the expiration of fourteen days
(14) from the date service is first established, this Agreement should be fully
enforceable in accordance with its terms. Customer confirms that he/she has
agreed to purchase services from VoiceConnect for a value not less than the
total shown on the face of this agreement, and that if Customer terminates the
service relationship before that obligation has been met, a termination charge
equal to the difference will be charged by VoiceConnect, and is immediately due
and payable. Once the Customer has fulfilled its total agreed obligations to
VoiceConnect, this agreement shall continue on a month-to-month basis, and may
be cancelled on 30 days written notice. In the event that Customer cancels
without 30 days notice, VoiceConnect shall bill one extra months charges in
lieu of the required notice period.
BILLING OF USAGE CHARGES – Some of the services we provide are subject to per
minute or per call charges at the rate of 4.9 cents per minute as shown in this
Agreement. You agree to pay all such usage charges when due. We do not
routinely provide the details of the calls that create usage charges to your
monthly bill, but such information is available if you want to use it.
SECURITY CODE – The security of each service is your responsibility. You agree
not to disclose the personal security code to any unauthorized users, and agree
to pay all charges of whatever nature that may be incurred through use of your
service.
NO CONSEQUENTIAL DAMAGES – We will not have any liability to you or any third
party for any direct, indirect, special or consequential damages of any kind
arising out of this Agreement including without limitation, damages based on
strict liability, tort or warranty. The maximum damages, which may be awarded
against us in any circumstances, shall be limited to the return of moneys you
paid to VoiceConnect for services, not to exceed 3 months.
APPLICABLE LAW – This Agreement shall be governed and construed in accordance
with the laws of the state in which service is provided to you. |
